You would have to get the ASB's, because first of all the victorious allies would never get a defeated nation keep territory.

Second, this would probably mean (if it happened) that Hitler would not come to power, thus no WWII as we knew it.
 
The only way I could see the Allies letting the Germans keep their colonies is if they were demilitarized and the Germans made significant additional territorial concessions in some other area to keep the colonies. Since I doubt the Germans would trade the Saar or a chunk of Silesia to keep colonies that were impossible to defend and an economic drain, it's fairly unlikely to happen.

Heck, the National Government kept offering to give Germany some of her African colonies back, so its possible it could happen that way round - eg Chamberlain gives a guarantee to Poland earlier on, Hitler is persuaded not to advance his plans there, Chamberlain gives Germany a bunch of colonies, after Chamberlain's death, or retirement due to ill health someone of his ilk takes over, Hitler tries the Polish bluff and it seems to work, but then Britain wakes up and war starts - maybe in late 1940
